Photographer Agreement

This Agreement governs your use of ChasedShot as a paying Photographer. ChasedShot is a service operated by Byte Stack Solutions (“Byte Stack Solutions”, “we”, “us”). By signing up for a subscription you accept these terms. Together with the Terms of Service and the Privacy Policy, they form the entire agreement between you and Byte Stack Solutions.

1. What ChasedShot provides

ChasedShot provides software that lets you (a) host an online album, (b) upload photos and generate watermarked previews, (c) accept payments for individual photos through your own Stripe Connect account, and (d) deliver a download link to the buyer. Storage capacity, features, and prices are as described on the Pricing page at the time of your subscription.

2. You are the merchant of record

Sales on ChasedShot use Stripe Connect Direct Charges. This means:

  • You, not ChasedShot, are the seller and merchant of record for every purchase.
  • Payments settle to your Stripe balance. ChasedShot does not touch buyer funds.
  • You are responsible for issuing tax invoices, collecting and remitting VAT (or equivalent), and filing income tax on your sales.
  • Refunds are your decision and are issued from your Stripe balance. Chargebacks and disputes are handled by you, from your Stripe balance.
  • You will keep your Stripe Connect account in good standing (identity verification, compliance information, bank details up to date).

ChasedShot may collect an application fee on each sale as disclosed at the time of subscription; today the default fee is 0.

3. Ownership and licence to us

You retain all copyright and ownership rights in the photos you upload (“Your Content”). To operate the service, you grant ChasedShot a worldwide, non-exclusive, royalty-free licence to:

  • store and back up Your Content on our infrastructure;
  • generate resized copies, thumbnails, and watermarked previews;
  • display previews on your public album page;
  • deliver the clean file to a Buyer once a purchase completes;
  • reference your album, display name, and cover image in aggregate promotional material about the platform (opt-out available at any time by writing to us).

The licence ends when you delete the photo or 30 days after your account is cancelled, whichever comes first, save for copies retained in encrypted backups until they roll off.

4. Your warranties

You represent and warrant that:

  • you own the copyright in each photo you upload, or have all necessary rights and consents to sell it on ChasedShot;
  • each photo complies with applicable law, including data-protection law with respect to identifiable persons depicted;
  • your content is not obscene, defamatory, discriminatory, or otherwise illegal;
  • you will not upload content that infringes intellectual property or privacy rights of others;
  • you are at least 18 years old and legally able to enter into this Agreement.

5. Prohibited content

You may not upload photos containing: nudity, sexually explicit material, minors in vulnerable or sexualised contexts, violent or graphic content, drug use, hate speech, or content that could reasonably be considered harassment. We may remove content at our discretion; repeated or serious violations will result in account termination.

6. Subscription, billing, and quota

  • Subscriptions are billed monthly by Stripe. Prices exclude VAT where applicable.
  • You can upgrade, downgrade, or cancel from the Billing page. Downgrades take effect on the next billing cycle.
  • No partial-month refunds. If you cancel mid-cycle, the plan remains active until the period end.
  • If a payment fails, your subscription enters “past due”. After fourteen (14) days without resolution, uploads and sales are disabled; after sixty (60) days your data is deleted.
  • If you exceed your storage quota and have auto-delete disabled, uploads will be refused until you free space, upgrade, or enable auto-delete.

7. Data Processing Agreement (DPA)

With respect to personal data of persons depicted in Your Content, you act as the data controller and ChasedShot acts as your data processor within the meaning of the GDPR. We will:

  • process Your Content only on your documented instructions (i.e., as configured through the platform);
  • ensure persons authorised to process the data are bound by confidentiality;
  • implement appropriate technical and organisational security measures;
  • assist you with data-subject requests and, where feasible, with data-protection impact assessments;
  • notify you without undue delay of any personal-data breach affecting Your Content;
  • return or delete Your Content on termination in accordance with Section 8;
  • make available information necessary to demonstrate compliance with the above.

Sub-processors currently used: our infrastructure hosting provider (servers located in the European Union) and our transactional email provider. The current list of named sub-processors is available on request at info@bytestacksolutions.com. Stripe is not a sub-processor of Byte Stack Solutions — you engage Stripe directly under your own Connect account. We will notify you before adding sub-processors and you may object.

8. Termination and data return

Either party may terminate this Agreement at any time. On termination we will make Your Content available for export for 30 days, after which it is deleted. Order records may be retained longer where required by tax and accounting law.

9. Limitation of liability

To the maximum extent permitted by law, Byte Stack Solutions’ aggregate liability arising out of or relating to this Agreement is limited to the subscription fees you paid to Byte Stack Solutions in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect or consequential damages, loss of profits, loss of goodwill, or loss of data (other than as required by the DPA).

10. Indemnity

You will indemnify and hold harmless Byte Stack Solutions from and against any third-party claims arising from Your Content or your breach of Section 4 (warranties) or Section 5 (prohibited content), including claims of copyright infringement or privacy violations.

11. Governing law and disputes

This Agreement is governed by the laws of the Netherlands. Disputes will be brought before the competent courts of Amsterdam.

12. Changes

We may update this Agreement from time to time. Material changes will be emailed to your account address 30 days before they take effect. If you do not accept the changes you may cancel your subscription before they take effect and receive a pro-rata refund of prepaid unused subscription fees.
